Did it come preinstalled with windows 98? If so most manufactors dont recomend upgrading to xp. In general the upgrade is much smoother if you have windows me installed.

Second, your device is on the microsoft hardware compatibility list (hcl), so it is compatibile. http://www.microsoft.com/hcl/

Third, download the upgrade advisor to see if any software or hardware won't work or needs updates

Fourth, go to the toshiba website and download any updates such as a bios update. I went there and only found 2 updates for windows xp home, kinda fishy. Who made your bios and what is the date? You can find out by going to start > run > msinfo32

Fifth, your computer does meet the minimum requirements, but it might lag a little, and some features will be turned off by default (but you can turn them on later). Windows xp is smart and will adjust your featues to your hardware.

Sixth, uninstall any antivirus, cd burning software (easy cd creator), goback, partitioning software, anything made by mcafee or norton. You also want to clean boot the system before you upgrade, just go to start > run > msconfig > then click diagnostic startup, and restart. Then upgrade from there.

Seventh, there are some issues with toshiba laptops, but in general this should be a smooth upgrade. Make sure you act smart and backup all your data first, just in case. Mkae sure you leave yourself enough time to install it, itll take 1 hour to install.

You might want to print out device manager (right click my computer, properties, device manager) for future reference. Also if you run the upgrade advsiro it saves into c:\windows\upgrade.txt, print this out also. Also print out this article:

try an upgrade first, but bacup your data. If the upgrade fails just boot from the cd and do a clean install
